TERMS AND CONDITIONS
Please read the following document carefully before using http://labs.customerparadigm.com. Customer Paradigm Labs is an eCommerce Website run by Customer Paradigm. By purchasing products from Customer Paradigm, you must positively indicate that you have read and agreed to our Terms and Conditions.
For all extensions developed and sold as products on Customer Paradigm Labs, the following terms are applied:
Copyright
Customer Paradigm is the copyright holder of all software sold on this site. The copying, redistribution, use or publication by you of any products without Customer Paradigm permission, is strictly prohibited. You are not allowed to use any part of our code in whole or part of any other software or product or website. We will vigorously defend against any violation of software copyright, which may result in either civil or criminal penalties, which may include up to five years in jail or significant monetary fines.
License
By purchasing a product of Customer Paradigm:
For select products Customer will obtain a License Certificate which will remain valid until the Customer stops using the Product, stops paying for the product (if an ongoing subscription product), or until Customer Paradigm terminates this License because of Customer's failure to comply with any of its Terms and Conditions. Each License Certificate includes a license key which is valid for one live Magento installation only and two test Magento installations. Only one copy of an extension can be used on one Magento installation solely for your own personal or business use.
You are allowed to customize our products by modifying the source code. However, any modifications to the code may make upgrades, patches or new versions overwrite this existing code, and / or cause system instability. Customer Paradigm is unable to provide support for extensions that have been modified from its original state.
30 Day Money Back Guarantee & Free Trial
From the date of purchase, the customer has up to 30 days to notify Customer Paradigm that they would like to refund the product(s) in order to receive a 100% refund. Legal action may be pursued if Customer Paradigm determines that the client maintained and continued to use the product(s) after receiving a refund. Installation and any support work fees are not refundable. After 30 days, all payments made to Customer Paradigm are non-refundable. In the case of an ongoing subscription, all payments made after the initial 30 day time period become non-refundable. Unused portions from a monthly subscription will not be prorated. However, you are free to cancel a subscription at any time without penalty – we do not lock you into any long-term contracts.
Guaranteed Bug Free
If the purchased product(s) contains a glitch or error when working with standard Magento logic, then Customer Paradigm will resolve the issue free of charge for the client. If the error is a result of the client’s website deviating from standard Magento logic, has modified core Magento files, or modified the extension, then Customer Paradigm is not liable for this issue.
DEVELOPMENT & TEST SITES: Customer Paradigm recommends using development and/or test sites to make changes, instead of live Websites. Customer Paradigm or another qualified Magento developer can set up a test or development site on an hourly basis. Customer Paradigm provides licenses for development and staging sites.
SERVER COMPATIBILITY: Web servers which host Websites frequently are updated by hosting companies to enhance security and reliability. Such upgrades from one version of software to the next may impact the functionality and/or display of the Website. Customer Paradigm is not responsible for Web server changes, and is available to fix issues that arise from upgrades on an hourly basis.
DATA LOSS: Customer Paradigm's advanced extensions have the ability to delete, add, remove, update and modify database records including products, content, inventory, pricing, categories, attributes and more. Customer Paradigm's extensions do have the ability to permanently delete information from your website or remove data from external data sources. Please proceed carefully with our software and pay attention to all messages, warnings and notifications.
MAGENTO VERSION CHANGES OR SECURITY UPDATES: Magento releases security patches and new versions of their software at both regular and irregular intervals. Software updates may in some cases break or alter the functionality of an extension. Customer Paradigm will attempt to test any updated versions of Magento for compatibility, and will work to provide an update (if needed) to the various extensions in a reasonable timeframe. In some cases, Magento updates may render an existing extension obsolete or non-functional.
CORE FILE MODIFICATIONS: Customer Paradigm strives to create Magento extensions in a responsible manner, and our extensions will not modify core Magento code files or other systems without explicit authorization. If you modify core files in your Magento site, our extension may not work properly.
WEBSITE BACKUPS: Customer Paradigm does not offer Website hosting or Website backup services. We highly recommend that Client subscribe to a Website backup service, at either the hosting company or at an external location. Customer Paradigm is not responsible for loss of data, deleted data, or data loss from third party systems. Our extensions do have the ability to delete, modify and remove data from your site and other external data sources. We recommend full site backups be performed on a daily basis, and recommend creating a full offsite backup at least twice per month, including the database files. We recommend using a version control system to keep track of your file system, such as GIT. A GIT version control system can help keep track of changes to your file system and synchronize with other code repositories.
PERMISSIONS AND RELEASES: The Client agrees to indemnify and hold harmless Customer Paradigm against any and all claims, costs, and expenses, including attorney's fees, due to materials included in the extension for which no copyright permission or previous release was requested or uses which exceed the uses allowed pursuant to a permission or release.
LIMITATION OF LIABILITY AND INDEMNITY: THE SERVICES AND EXTENSIONS CUSTOMER PARADIGM ARE SOLD “AS IS.” THERE ARE NO WARRANTIES ASSOCIATED WITH THE SERVICES, PRODUCTS, EXTENSIONS, OR WORK PRODUCT OF CUSTOMER PARADIGM. THE MAXIMUM LIABILITY OF CUSTOMER PARADIGM, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS AND AFFILIATES TO CLIENT, FOR DAMAGES FOR ANY AND ALL CAUSES OF ACTION AND CLIENT’S MAXIMUM REMEDY REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT, OR OTHERWISE, SHALL BE LIMITED TO THE PRICE OF THE EXTENSION. IN NO EVENT SHALL CUSTOMER PARADIGM BE LIABLE FOR ANY LOST DATA OR CONTENT, LOST PROFITS, BUSINESS INTERRUPTION OR FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THE SERVICES PROVIDED AND WORK PRODUCT PRODUCED BY CUSTOMER PARADIGM.
Client agrees that it shall not hold Customer Paradigm or its agents or employees liable for any incidental or consequential damages which arise from Customer Paradigm’s failure of an extension to perform any aspect functionality, regardless of whether such failure was caused by intentional or negligent acts or omissions of Customer Paradigm or a third party. Furthermore, Customer Paradigm disclaims all implied warranties, including the warranty of merchantability and fitness for a particular use.
Upgrade Period
Customer Paradigm Labs does upgrade regularly to meet new requests from customers or make our products work with later versions of Magento.
Each paid (purchased) extension includes 90 days of free updates and support. Free extensions do receive free updates. Free extensions do not include support, but support packages can be purchased. During the active upgrade period, clients are eligible for free extension updates. If the customer would like additional features added or customization completed on the original product then a quote will be provided at the Customer Paradigm Labs hourly rate. Additional support periods can be purchased for a product: either 180 or 360 days from purchase date.
Customer Paradigm warrants and represents that, to the best of our knowledge, the creative design and development logic of products are original and are not plagiarized. Purchased extensions may only be used in one Magento installation. In order to implement an extension in multiple Magento installations then a purchase must be made of that extension per Magento installation. Customer Paradigm Labs reserves the right to refuse support and refunds to customers that do not adhere to this process.
These Terms and Conditions go into effect on the 20th of January, 2017.
Availability
Labs.CustomerParadigm.com does not warrant that the service from this site will be uninterrupted, timely or error free, although it is provided to the best ability.
Notification of Changes
Customer Paradigm reserves the right to change these conditions from time to time as it sees fit and your continued use of the site will signify your acceptance of any adjustment to these terms. Regardless, we will post any Terms and Conditions changes on this page and, if the changes are significant, we will provide a more prominent notice.
